Terms and Conditions

These Terms form a binding agreement between you and Redlive LTD (Company No. 16403439), whose registered office is PO Box 4385, Companies House Default Address, Cardiff, CF14 8LH, United Kingdom ("Redlive", "we", "us" or "our"). By creating an account, purchasing, downloading, activating or using any software or service, you agree to these Terms, the EULA, Privacy Policy, Licensing Policy, Support Policy and Digital Content & Cancellation Policy.

1. Licence transaction—not sale of ownership

All software, source code, object code, databases, interfaces, designs, documentation, updates, branding and related materials remain owned exclusively by Redlive LTD or its licensors. A completed purchase grants only the limited licence stated in the applicable product page, order and EULA. No intellectual-property ownership is transferred.

2. Strict prohibited conduct

You must not, directly or indirectly: resell, sublicense, rent, lease, lend, share, publish, disclose, distribute or make the software available to any third party; use one licence on more domains, installations, businesses or customers than permitted; modify, adapt, translate, merge or create derivative or competing products; reverse engineer, decompile, disassemble or attempt to discover source code or security logic except to the limited extent such restriction is prohibited by mandatory law; remove copyright, trademark, licence, telemetry or attribution notices; bypass, disable or interfere with activation, domain binding, access controls, encryption or other technical protection measures; share licence keys, downloads or credentials; or use the software unlawfully or to infringe another person's rights.

3. Licence verification and enforcement

We may use proportionate technical and account records to verify licence validity, including licence key, registered domain, activation time, IP address, download history, software version and security events. Where we reasonably suspect a breach, fraud, unauthorised copying, resale, redistribution, chargeback abuse or circumvention, we may temporarily suspend access while investigating. If a material breach is established, we may terminate the licence, disable activation, downloads, updates and support, and require destruction of all copies. Termination does not limit our right to seek injunctions, damages, an account of profits, recovery of reasonable enforcement costs, or other remedies available by law.

4. Expiry and termination

A time-limited licence automatically expires at the end of its stated term unless renewed. On expiry or termination, any licence-dependent services, downloads, updates, support and online activation may cease. Redlive LTD may terminate a licence immediately for a serious or repeated breach, or after reasonable notice for a remediable breach that is not corrected. No refund is due where termination results from the customer's breach, except where mandatory law requires otherwise.

5. Orders, prices and delivery

Prices, taxes, licence term, permitted installation count and included support are displayed before payment. Orders remain subject to payment confirmation and anti-fraud checks. Digital content may be made available immediately after verified payment. You are responsible for ensuring that your hosting environment meets published requirements and for maintaining secure backups.

6. Digital content and cancellation rights

Where consumer law provides a cancellation period, you may be asked to give express consent to immediate supply of digital content and acknowledge that the statutory cancellation right may be lost once supply begins. Nothing in these Terms excludes rights that cannot lawfully be excluded, including remedies for digital content that is not of satisfactory quality, fit for purpose or as described.

7. Support and updates

Support and updates are provided only for the period and scope stated at purchase. Support does not include custom development, third-party conflicts, server administration, unlawful use, modified code, or damage caused by unauthorised changes. We may refuse support for unlicensed, expired, modified, shared or redistributed copies.

8. Customer responsibilities

You are responsible for lawful deployment, hosting, security, backups, access credentials, content, taxes, regulatory compliance and third-party services. You must promptly change temporary credentials shared for development work and must not provide unnecessary personal or confidential information.

9. Warranties and liability

We do not guarantee profit, revenue, traffic, uninterrupted operation, compatibility with every third-party service or fitness for an undisclosed purpose. To the maximum extent permitted by law, Redlive LTD is not liable for indirect, consequential or special loss, loss of profits, revenue, data, goodwill or business opportunity. Our aggregate liability arising from a specific purchase will not exceed the amount paid for that purchase during the preceding twelve months. Nothing limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence.

10. Indemnity

To the extent permitted by law, business customers agree to indemnify Redlive LTD against third-party claims, losses and reasonable costs resulting from their unlawful use, unauthorised distribution, infringement, breach of these Terms or content supplied by them. This clause does not reduce mandatory consumer protections.

11. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that a consumer may retain mandatory rights to bring proceedings in the courts of their home jurisdiction.

12. General

If a provision is unenforceable, it will be limited or removed only to the minimum necessary and the remainder will continue. Failure to enforce a right is not a waiver. We may update these Terms prospectively; material changes will be notified where reasonably required. The version accepted and recorded for an order governs that order unless mandatory law requires otherwise.
